Terms and Conditions for use of the IGD Schools Toolkit

By accessing, downloading or using the IGD’s School Partnership Toolkit (“Toolkit”), you agree to the following terms:

1.        Intellectual Property

The Toolkit and all associated materials are the intellectual property of IGD and are protected by copyright and other applicable intellectual property legislation. Ownership of the intellectual property in the Toolkit remains with IGD at all times.

2.        Licence to Use

The Toolkit is free to download and use, subject to the licensing terms set out in these Terms and Conditions.

IGD grants your organisation a non-exclusive, non-transferable, non-sublicensable, non-assignable licence to use the Toolkit for the sole purpose of delivering educational training and activities within [schools/colleges/educations institutions for children aged 11 to 21].

3.        Permitted Use

 You may use the Toolkit within your organisation to deliver training in schools. You may reproduce materials only as reasonably required for this purpose.

4.        Restrictions

    You must not:

          i.              sell, licence, sublicense or commercially exploit the Toolkit;

        ii.              distribute the Toolkit outside your organisation, except to participating schools as required for delivery;

       iii.              disseminate, publish or otherwise circulate the Toolkit in any way other than as expressly permitted by IGD;

       iv.              modify, remove or obscure any IGD branding, copyright notices or proprietary markings;

         v.              claim ownership of, or represent the Toolkit as your own work.

5.        Branding and Attribution

IGD branding and acknowledgements, including but not limited to copyright notices, trade marks, logos or the IGD name, must remain on all Toolkit materials unless IGD has provided prior written consent to alternative branding arrangements.

6.        Relationships with schools

It is the responsibility of each organisation to establish, develop and maintain its own partnerships with schools and colleges. IGD does not facilitate or manage these relationships.

7.        Safeguarding

The Toolkit includes child protection and safeguarding guidance. Any individual delivering activities or workshops using these resources is responsible for reading, understanding and adhering to this guidance. IGD accepts no responsibility or liability for the delivery, content or outcomes of any activities, workshops or engagements delivered by organisations using the Toolkit.

8.        Warranties

The Toolkit is provided “as is”. While IGD has taken reasonable care in preparing the content, it makes no guarantees regarding its completeness, accuracy or suitability for every circumstance.

You assume sole responsibility for the use, selection and suitability of the Toolkit for your needs and acknowledge that, except as above, IGD does not provide any warranties or guarantees in relation to the Toolkit.

You warrant that you shall comply with all applicable laws and regulations and shall not knowingly use the Toolkit for any improper or unlawful purposes (including infringing any intellectual property rights).

9.        Limitation of Liability

To the fullest extent permitted by law, IGD shall not be liable for any direct, indirect or consequential loss arising from the use of the Toolkit.

10.    Termination

IGD may withdraw or terminate your licence to use the Toolkit if these terms are breached. Upon termination, your organisation must cease using the Toolkit and destroy or delete any copies, if requested by IGD.

11.    Changes to these Terms and Conditions

IGD reserves the right to update these terms from time to time. Continued use of the Toolkit constitutes acceptance of the updated terms.

12.    Governing Law

These terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
